Corporate Backup Terms and Conditions

Before installing your software, please read the system procedure and terms and conditions set out below.  It is important that you do so as they contain important information about the product you have purchased and how it works.

SYSTEM PROCEDURE

1.	The disc contains a computer program which enables you to safely backup any of the data on your computer.  Any data which you choose to backup will be sent to us in an encrypted form.  Accordingly, it is vital that you keep in a safe place your username and password in case you ever need to retrieve data from us.  If you need to retrieve data from us, you will need to provide to us your username and password; otherwise your data will be irretrievable.

2.	The backup system works by transferring your data by internet connection to our server.  If there is any error or failure of connection, your computer will generate an email to you to advise you of any problems.  Contact us, or visit our website, if you receive any such email or detect any problem.  

3.	Our secure server is mirrored in other locations to provide the ultimate protection for you.  

4.	The software you have provided contains, as a default, a setting which saves the last 5 versions of each file that you backup.  This can be changed by you.

5.	If you ever need to restore data you can do that by visiting our website or, alternatively, by contacting our call centre.  We can provide to you (at an additional cost) an external hard drive with any data that you have backed up.  For further information about our call centre, please visit our website.

TERMS AND CONDITIONS

In these terms and conditions "We" or "Us" means Corporate Backup Pty Ltd.  "You" means the user who has purchased our software program.

1.	For as long as you pay our monthly service charges, we grant to you a non-exclusive, non transferable, royalty free, limited license to use our backup software on one single computer.  

2.	You are solely responsible for selecting the files or data you wish to back up.   The software will not of itself backup all data on your computer.  You must select the settings.  For further information, see the installation guide.

3.	You are responsible for monitoring the backup logs and activity to determine if your backups are running properly. The software has within it an email reporting function which you must monitor.  

4.	You must be aware that your internet service provider may charge you a fee for the transfer of significant data from your computer to our backup server.  We are not liable for any data transfer fee including, without limitation, any excess data transfer fees which result from the initial setup or any continued use of our backup service.  

5.	As any data that you backup is encrypted, you are solely responsible for providing to us your username and password if you need to access or retrieve your data from us. We will not be able to provide to you your data in the event of a system failure of your computer, if you cannot provide us your username and password.  We do not maintain usernames and passwords.  We are in no way responsible for any loss or damage suffered by you in the event that you lose your username and password and cannot access your data.  

6.	You must pay us a monthly service charge. If you do not pay on time (or your credit card or direct debit authority is dishonoured), we will suspend all backup services.  Once your account is suspended no data can be restored or retrieved from our backup server until full payment is made.  If payment is not resolved after a period of 30 days of non payment, we will delete all of your data from our server.

7.	You can discontinue our service at any time.  However, we are entitled to charge you the balance of any month in which you notify us of discontinuance of services.  For example, if you advise us that you no longer require our services on 7 September and your backup service for the month ends on 30 September, we are entitled to charge you for the entire month of September.  

8.	To the full extent permitted by law, we disclaim all warranties, express or implied, as to our software and our services.  In the event that you suffer any loss or damage as a consequence of our software or our services, you agree that any damages or financial compensation to which you will be entitled will be limited to the cost of re-supplying the goods or services  and we are not liable for any indirect, special or consequential damages (including damages for loss of business, loss of profits or losses of similar nature) whether based in contract, tort, under the Trade Practices Act or any comparable legislation. 

9.	You acknowledge that you will be bound by any changes to these terms and conditions which are made from time to time and which will be contained on our website.
